INTEGRATED MARKETING SOFTWARE LLC TERMS OF SERVICE

Please read these Terms of Service carefully before using the useims.com website or any services offered by Integrated Marketing Software LLC ("IMS," "we," "us," or "our"), a Limited Liability Company formed in Tennessee, United States. By accessing or using our website or services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you do not have permission to access or use our website or services.
1. Services and Packages
IMS provides software subscriptions and related services to small business owners, entrepreneurs, and organizations. Our current service offerings include:
IMS WebLaunch — Website builder, custom domain, booking, online payments, mobile optimization, unlimited websites — $25/month or $250/year
IMS Social — Social media scheduler, email marketing, CRM, reputation management, community, reporting, and more — $47/month
IMS Toolkit — Full platform including CRM, funnels, automation, email marketing, social scheduling, courses, memberships, ads manager, and more — $97/month or $970/year
Pricing does not include applicable taxes or pay-as-you-go communication fees. Additional features and add-ons are available and billed separately based on usage.
2. Pay-As-You-Go Communication Fees
IMS uses a transparent pay-as-you-go billing model for communication services including but not limited to SMS messaging, email sending, phone number rental, and other usage-based features. These fees are charged based on actual usage and are separate from your monthly subscription fee. You will only be charged for what you actually use. IMS does not bundle or inflate communication costs into subscription pricing.
You are responsible for maintaining sufficient wallet credits to cover communication usage. IMS is not responsible for service interruptions caused by insufficient wallet balance.
3. Purchases and Payment
Payments are processed through Stripe. By making a purchase you represent and warrant that you have the legal right to use the payment method provided and that all information submitted is accurate and complete. Accepted payment methods include American Express, Discover, MasterCard, and Visa.
IMS is not responsible for the collection, use, sharing, or security of your billing information by Stripe. Please review Stripe's privacy policy and terms of service for information on how your payment data is handled.
4. Subscriptions and Automatic Renewal
IMS subscription services are billed on a monthly or annual basis depending on your selected plan. Subscriptions automatically renew at the end of each billing period unless canceled in accordance with Section 5 of these Terms.
By subscribing you authorize IMS to charge your payment method on a recurring basis. You will be notified of any price changes prior to your next billing date.
5. Cancellation Policy
IMS subscriptions are month-to-month with no long-term contracts. You may cancel at any time by contacting [email protected] or through your account settings.
Upon cancellation your access to the IMS platform continues through the end of your current billing period. No refund will be issued for the unused portion of your current billing period. You will continue to incur pay-as-you-go communication fees for any services used through the end of your billing period. It is your responsibility to export any data, content, or assets you wish to retain before your billing period ends.
Post-cancellation timeline:
End of billing period — Platform access ends. Account enters read-only status.
Day 30 after billing ends — Website goes dark and is no longer publicly visible. Phone numbers are deactivated and released.
Day 180 after billing ends — Account, website, workflows, and all associated data are permanently deleted. This action is irreversible.
IMS will make reasonable efforts to notify you before permanent deletion. However it is your sole responsibility to export and retain any data or assets you wish to keep prior to the end of your billing period.
6. Non-Payment and Account Suspension
If a scheduled payment fails or is not received IMS reserves the right to suspend your account. The following timeline applies:
Day 3 of non-payment — IMS automatically suspends account access. You will not be able to log in or use any platform features.
Day 7 of non-payment — IMS sends a final notice to the email address on file. Payment must be received within 7 days to restore access.
Day 14 of non-payment — Website goes dark and is no longer publicly visible.
Day 30 of non-payment — Phone numbers are deactivated and released.
Day 180 of non-payment — Account, website, workflows, and all associated data are permanently deleted. This action is irreversible.
To restore a suspended account you must pay all outstanding balances in full. Accounts may be restored any time within 180 days of the original suspension date upon payment of all outstanding balances plus a $25 reactivation fee. After 180 days accounts cannot be restored and all data is permanently deleted.
7. Account Reactivation
Clients who have cancelled or been suspended may reactivate their account within 180 days of cancellation or suspension. Upon reactivation your account, website, workflows, and data will be restored as they existed at the time of cancellation or suspension, subject to availability.
A reactivation fee of $25 applies to all account restorations. This fee must be paid in addition to any outstanding balances before access is restored. After 180 days reactivation is not available and a new account must be created.
8. Refund Policy
IMS maintains a strict no-refund policy. All sales are final. No refunds will be issued for any reason including but not limited to unused subscription time, dissatisfaction with the platform, failure to use the service, or cancellation prior to the end of a billing period. This policy applies to all packages, services, training, and add-ons.

9. Workflows, Custom Builds, and Intellectual Property
IMS invests significant time and expertise in building custom workflows, automations, funnels, websites, and other configurations within your account as part of your onboarding and ongoing support.
IMS-built content: Any workflow, automation, funnel, website, template, or system configuration built by IMS personnel on behalf of the client remains the intellectual property of Integrated Marketing Software LLC. These assets are licensed to the client for use during an active subscription.
Transfer to another agency: If a client wishes to transfer IMS-built workflows, automations, or other custom configurations to another agency or platform, a flat transfer fee of $150 applies. Transfer requests must be submitted to [email protected] with at least 14 days notice prior to cancellation.
Client-built content: Workflows, content, and configurations built entirely by the client within their own account may be transferred to another agency at no charge.
Website ownership: Websites built by IMS within the client's account are licensed to the client during their active subscription. Upon cancellation the website remains accessible for 30 days before going dark and is permanently deleted at 180 days as outlined in Section 5.
10. Onboarding, Training, and Support
IMS provides one-on-one onboarding, training, and support as part of your subscription at no additional charge. This includes brand building assistance, website setup, social media profile setup, Google Business Profile claiming, AI tools training, and social media content creation guidance.
Support is provided via video call and phone during business hours. IMS does not use automated bots or ticketing systems for primary client support. Response times may vary based on volume but IMS commits to responding to all support requests within 24 business hours.
IMS reserves the right to modify the scope of included support services with reasonable notice to active subscribers.
11. Acceptable Use and Prohibited Activities
By using IMS services you agree to comply with all applicable laws and regulations. The following activities are strictly prohibited:
Using the platform to send spam, unsolicited messages, or communications that violate CAN-SPAM, TCPA, or other applicable laws.
Using the platform for any illegal purpose or in violation of any local, state, federal, or international law.
Impersonating any person or entity or misrepresenting your affiliation with any person or entity.
Attempting to gain unauthorized access to any portion of the platform or its related systems.
Using the platform to store or transmit malicious code, viruses, or harmful content.
Reselling or sublicensing IMS services without prior written authorization from IMS.
Using the platform in any way that could damage, disable, or impair the service or interfere with other users.
IMS reserves the right to suspend or terminate any account found to be in violation of these prohibited uses immediately and without notice.
12. Data Collection and Privacy
IMS collects and processes personal data as described in our Privacy Policy available at useims.com/privacy_policy. By using our services you consent to the collection and use of your data as described in the Privacy Policy.
IMS uses AI-powered tools within the platform including but not limited to AI writing assistants and automation tools. By using the platform you acknowledge and consent to the use of these AI tools in connection with your account.
IMS will not sell your personal data to third parties. Data collected is used solely for the purpose of providing and improving our services.
13. Platform Disclosure
IMS is proudly powered by GoHighLevel, one of the most capable all-in-one marketing platforms available. IMS operates as a white-label reseller of GoHighLevel software. Your relationship for support, billing, and services is with IMS — not with GoHighLevel. IMS is fully responsible for all client relationships, support, and service delivery.
14. No Warranty
The IMS platform and all services are provided on an "as is" and "as available" basis without warranty of any kind, express or implied. IMS does not warrant that the service will be uninterrupted, error-free, or completely secure. IMS makes no warranty regarding the results that may be obtained from the use of the service.
15. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Integrated Marketing Software LLC, its owners, employees, contractors, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the service. If IMS is found liable for direct damages, liability is limited to the total amount of subscription fees paid by you to IMS in the three months preceding the claim.
16. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the State of Tennessee. Any disputes arising from these Terms or your use of IMS services shall be resolved in the courts of Maury County, Tennessee. You consent to the personal jurisdiction of such courts.
17. Changes to Terms of Service
IMS reserves the right to modify these Terms at any time. When changes are made the Last Updated date at the top of this document will be revised. IMS will notify active subscribers of material changes via email to the address on file. Your continued use of the service after notification of changes constitutes acceptance of the updated Terms.
